Exhibitions terms and conditions

The following terms and conditions are applicable to all applications for participation in Education UK Exhibitions organised by the British Council.

In these conditions:

'The Organiser' means the British Council, acting on behalf of our network of overseas partners.
'The Institution' means the Eligible Institution or Consortium which has submitted an application to the Organiser to participate at the Exhibition.
'An Eligible Institution' means an educational institution which is accredited by a recognised UK authority as specified in the Education UK Partnership eligibility criteria (sections 'Quality and Recognition' and 'Accreditation').
'The Exhibition' is that being held by the Organiser in the country specified in the Exhibition Details.
'The Exhibition Details' are those details relating to the Exhibition published from time to time on the Organiser's website.
'The Venue' is stated in the Exhibition Details.
'The Application' is the completed application form submitted by the Institution to the Organiser to exhibit at the Exhibition.
'The Application Deadline' is the final date for submission of Applications.
'Partnership Member' is an Institution that is a member of the Education UK Partnership as at the date of its Application.
'Country Partnership Member' is a Partnership Member that is additionally a member of the Country Partnership for the country in which the Exhibition is being held as at the date of its Application.
‘Representative’ is the individual tasked by the institution to represent them at the exhibition.  This can either a direct employee of the institution, a member of an associate office overseas or an education agent contracted by the institution.
‘Main contact’ is the individual indicated as such in the application or otherwise indicated by the institution.


Permitted applicants
Only Eligible Institutions, Consortia consisting of Eligible Institutions and, where relevant, Trans-national Education Providers (as defined below) shall be permitted to submit an application to exhibit at the Exhibition.


Selection criteria
Prior to the Application Deadline, priority is given to Applications in the following order:

Country Partnership members (when the Exhibition is held in a country which has a Country Partnership), on a first-come, first-served basis
Partnership Members, on a first-come, first-served basis

After the Application Deadline, when the Applications received from all Country Partnership Members (if applicable) and other Partnership Members have been accepted, any other Institutions that applied prior to the Application Deadline will be accepted on a first-come, first-served basis.

If there are spaces remaining after the Application Deadline and an Institution submits an Application, they will be allocated on a first-come, first-served basis, with no priority given to Partnership Members.

If the Exhibition is oversubscribed, a waiting list system will be in operation. Institutions will be placed on this waiting list according to the order of priority set out above. Spaces will only be offered to those on the waiting list if additional space has been made available through a cancellation.

For certain Exhibitions, the Organiser may specify additional selection criteria. These will be set out in the Exhibition Details. The Organiser reserves the right to select Institutions to take part in the Exhibition based on these additional selection criteria.


Acceptance
The staging of the Exhibition is conditional on the Organiser receiving a sufficient number of Applications to make the Exhibition cost-effective. The Organiser will notify the Eligible Institution in writing no later than one week after the Application Deadline whether or not the condition has been fulfilled and whether or not their Application has been successful.


Consortium applications
Eligible Institutions shall be permitted to submit Applications in Consortia on the following basis:

A 'Consortium' refers to any two or more Eligible Institutions sharing a stand at the Exhibition.
A Consortium must provide the Organiser with the names of all the Eligible Institutions making up the Consortium and written confirmation from each of those Eligible Institutions confirming their agreement to participate in the Consortium.
A Consortium will designate one of the named Eligible Institutions as the lead Institution for the purpose of organisation and administration.  The lead Institution will be responsible to the Organiser for payment of the fees for the Exhibition and any other liability of the Consortium under these terms and conditions.
Consortia consisting solely of Partnership Members will be given the same priority as Partnership Members in relation to their Application. Consortia which include no or some Partnership Members will be treated as any other Eligible Institution in relation to their Application, but with Consortia having some Partnership Members being given priority over those containing no Partnership Members.
A Consortium shall be represented by a maximum of three representatives if a single stand is taken or a maximum of four representatives if a double stand or larger is taken.
The Consortium may have a name that is distinct from the names of its individual members. However, that name must not be deliberately misleading, likely to cause offence or the name of a UK or in-country agent or agency. The Organiser, in its absolute discretion, shall be entitled to require the removal of any name that does not meet these requirements.
The names of the individual Consortium members should be prominently displayed on the stand and in the literature available to visitors at the Exhibition.


Representatives
Institutions may be represented at the Exhibition by any of the following:

Their employee(s).
An agent, who may represent the Eligible Institution at the Exhibition without an employee of the Eligible Institution accompanying them. This is with the exception of any Exhibitions in China and India, where agents may not act as sole representative of an Institution, but they may act as a stand assistant.
An associate office overseas.

Regardless of the identity of the representative at the Exhibition, all communications between the Organiser and the Institution will be conducted in the United Kingdom and not with overseas representatives. The Institution shall be solely responsible for ensuring that all communications reaches their overseas representatives and for fulfilling all obligations under these terms and conditions. The Institution shall remain fully responsible for the actions of any representative throughout the Exhibition.

Where an agent is representing several Institutions at an Exhibition, they will need to provide separate representatives for each individual Institution’s stand.

Agents may not take a stand in their own right or in their own name. Agents are not permitted to use an Exhibition for their own commercial interests beyond representing an Institution. The decision of the Organiser as to whether the agent is using the Exhibition other than to represent an Institution shall be final.


Code of Practice for Representatives at Education UK Exhibitions

  • Representatives must not market the services of any other organisation other than the institution they are representing unless authorised by the main contact specified on the exhibition application form and with approval from the organiser. This includes the distribution of marketing materials.
  • Representatives must only promote UK education.
  • Representatives should remain on their stand in order to provide effective guidance and counselling to visitors. Breaks should be negotiated with fellow representatives to ensure appropriate cover is in place.
  • Representatives should only collect data from students when a relevant course exists and not collect data from students requesting information on a course which the institution does not provide unless authorised by the institution’s main contact and with approval from the organiser.
  • Representatives must not take money from students for any services other than those provided by the host institution.

If a representative of the institution is deemed to not be complying with the above code the organiser reserves the right to inform the institution’s main contact. Continual breaches may result in the organiser excluding the individual from the exhibition. The decision of the organiser as to whether there is a breach of the code will be final. It is the responsibility of the Institution to ensure all representatives are aware of this code.


Trans-national education exhibitions
Where the Exhibition Details specify that the Exhibition shall have a Trans-national Education Zone, this provision shall apply.

Local Trans-national Education Providers will be allowed to submit an application for a stand in the Trans-national Education Zone provided that they promote their academic programmes offered in conjunction with Eligible Institutions and they fulfil one of the following criteria:

They have a written agreement documenting an ongoing relationship for the provision of academic programmes with the Eligible Institution(s), such as a Memorandum of Understanding or other formal agreement.
They have been granted authority by the Eligible Institution(s) to conduct academic programmes on behalf of the Eligible Institution(s) in the country in which the Exhibition is being held (e.g. 3 + 0 programmes, dual degree arrangement).
Both the Trans-national Education Provider and the academic programmes offered must must meet relevant local regualtions as deemed appropriate by the Organiser.

The name on the stand and in the official promotional literature for the event shall be the name of the Trans-national Education Provider and only academic programmes offered in partnership with the Eligible Institution(s) can be promoted at the Exhibition. However, the Trans-national Education Provider is eligible to attend the Exhibition whether or not the Eligible Institution(s) is attending.

Where there is doubt, the decision of the Organiser shall be final.


Exhibition fees
The fees for participation in the Exhibition are as published in the Exhibition Details.

Institutions that are not members of the Education UK Partnership pay a premium of 100 per cent over the normal stand price.

A Consortium will pay a premium of 20 per cent on the normal stand price, provided that the Consortium contains at least one member of the Education UK Partnership. A Consortium that does not include any members of the Education UK Partnership shall pay a premium of 100 per cent over the normal stand price.

The Organiser will invoice the Institution once the 100 per cent cancellation deadline has passed (six weeks prior to the exhibition) for the fees payable for the Exhibition. In the event that the Institution places an order for any additional items after submission of the Application, these will be invoiced separately.

All invoices shall be due immediately and payable within 30 days of the invoice date. In the event of late payment, the Organiser reserves the right to charge interest at three per cent above the UK base lending rate of HSBC Bank PLC from the date on which the invoice has become due until the date of payment. In addition, in the event that any invoices remain outstanding, the Organiser shall be entitled to refuse any other applications made by the defaulting Institution to participate in Exhibitions.

Exhibitions may be advertised at a maximum fee. Where the Exhibition Details state that a maximum fee is payable, the full fee is payable by the Institution in accordance with the normal terms of payment. However, after the Exhibition, the Organiser shall calculate any refund due to participating Institutions and, in the event of any refund being payable, the Organiser shall pay the refund to the participating Institution within 60 days of the Exhibition taking place.


Cancellation
Cancellation fees will be charged for withdrawal from the Exhibition after the Application Deadline. Such fees will become due and payable on receipt of notice of cancellation.

Cancellation fees are as follows:

No fee will be charged for cancellation more than ten weeks prior to the exhibition.
50 per cent of the full fee payable for cancellation between six and ten weeks prior to the Exhibition.
100 per cent of the full fee payable for cancellation less than six weeks prior to the exhibition.

Notice of cancellation must be given by e-mailing educationuk.events@britishcouncil.org. You will receive a confirmation message within one week of your cancellation.


Accommodation, travel, visas and freight
Please note that the fees for the Exhibition do not include accommodation, subsistence, visas, insurance, freight charges, international or domestic travel costs or other ancillary costs arising out of participation in the Exhibition, unless otherwise expressly stated in the Exhibition Details.

The Organiser will provide the Institution in the exhibitors' handbook with details of suitable accommodation for the duration of the Exhibition. However, all arrangements for such accommodation shall be made direct with the provider specified and the Organiser shall not be responsible for the accommodation arrangements.


Loss or damage suffered by Institution
The Organiser shall have no liability for the damage, theft or loss of the Institution’s property in any circumstances. The Institution shall participate in the Exhibition at its own risk and take out all appropriate insurances.

Save as required by law, neither the owner of the Venue nor the Organiser accepts any liability for any accident, damage or injuries suffered in any way in connection with the Exhibition by the Institution, its employees, agents, contractors, representatives, invitees or any other person whatsoever.

The Organiser shall have no liability for loss or damage suffered by the Institution, its employees, agents, contractors, representatives, invitees or any other person whatsoever and caused by:

the failure of any service or amenities which the Organiser is responsible for providing
the cancellation or suspension of the Exhibition due to an event of force majeure, including war, earthquake, typhoon, adverse weather, strikes or any other reason beyond the Organiser’s control.


Loss or damage caused by Institution
The Institution indemnifies the Organiser against all actions, claims, suits, costs, expenses or demands (whether in respect of damage to property, personal injury or otherwise and including all legal costs and other expenses suffered or incurred by the Organiser) which any person may bring or claim arising in relation to the Exhibition caused by the acts or omissions of the Institution, its employees, agents, contractors, representatives or invitees.


Use of Venue, The Stand and conduct at the Exhibition
Institutions must not display literature on behalf of institutions that are not participating in the Exhibition. Institutions may be asked to submit all promotional materials and displays to the Organiser for approval and to make such changes as shall be agreed. If agreement cannot be reached, the Institution must withdraw the literature, material or display. The Organiser reserves the right to close down any stand or Reception Area not meeting the Organiser's requirements. No promotional literature relating to any representative of the Institution may be displayed at the Exhibition.

The Venue shall not be used for any illegal or immoral purpose and the Organiser reserves the right to remove all material that in its sole opinion may be considered offensive or obscene. The Venue shall not be used for the purpose of betting or gambling.

All goods and property brought into the Venue are brought in at the owner’s risk.

Escalators and passenger elevators shall be dedicated for the use of passengers and shall not be blocked or be used to transport freight or equipment or material of any nature.

The Institution is required to occupy the stand from the given time and must have completed all work on preparing / dressing the stand in time for the Exhibition opening at the given time. They must not vacate or dismantle the stand before the closure of the Exhibition and must have a representative staffing the stand at all times throughout the Exhibition.

The Institution must vacate the stand by a given time and must remove all display material, exhibits, and other property from the Venue after closure of the Exhibition and must restore each stand to its original good order and condition.

If the Institution fails to observe the conditions set out above, the Organiser is entitled at the cost and expense of the Institution to:

Remove all display materials, exhibits and other property belonging to the Institution or its representatives and dispose of them in any way it sees fit.
Rectify all damage caused by the Institution or its representatives and do all other things necessary to restore the stands and allocated space to good order and condition.
The Institution must pay or reimburse the Organiser for all sums necessarily expended by reason of such default.

The Organiser reserves the right to eject any Institution deemed to be acting inappropriately during the Exhibition.

Dress should be appropriate for the country in which the Exhibition is being held and all representatives of Institutions should dress accordingly.


Exhibition cancelled due to force majeure
If the country or location of the Exhibition becomes unsafe due to an event of force majeure, including but not limited to war, earthquake, typhoon, adverse weather, strike, fires, floods, terrorism, pandemics, acts of god and any natural disaster, the Organiser reserves the right to cancel the Exhibition with immediate effect.

In such circumstances, the Organiser would pay any exhibition costs that were unavoidable from the fees paid by Institutions. The balance of the fees paid by Institutions would be refunded less the unavoidable exhibition costs that have been paid by the Organiser. The balance would be divided equally between all Institutions. Institutions will be responsible for any cancellation charges on flights, accommodation and any other costs that they may incur.

There are circumstances where tension and incidents will raise a safety threat but not be sufficient to cancel the Exhibition. In such circumstances, some individuals or Institutions may feel unwilling to visit a country and therefore decide to withdraw from the Exhibition. The Organiser would make every effort to facilitate this with the minimum penalty to the Institution. In the event of such a withdrawal, normal cancellation charges will apply, except to the extent that the Organiser is able to reduce the charges without jeopardising the financial viability of the Exhibition.


Termination of agreement
The Organiser is entitled to terminate on immediate notice its agreement with an Institution if:

the Institution or its representative commits any breach of, or fails to observe, any these terms and conditions
the Institution suffers any event of insolvency, including having a receiver appointed over all or part of its assets, applying for the appointment of an administrator or entering into liquidation or bankruptcy, whether compulsorily or voluntarily
the Institution fails to pay any sum due.

In the event that the agreement is terminated by the Organiser, unless otherwise agreed between the Organiser and the Institution in writing, the Institution shall pay to the Organiser any expenses or loss incurred by the Organiser arising as a consequence of such termination. The Organiser shall have no liability to refund the fees paid by the Institution in whole or in part.


Disputes
Should there be any dispute in relation to these terms and conditions or the Institution’s participation in the Exhibition, the parties agree that the matter shall be referred to the Education UK Partnership Executive Board. If either party is dissatisfied with the decision of the Education UK Partnership Executive Board, that party may appeal in writing within one month to the Education UK Partnership Operating Board. The decision of the Operating Board shall be final and binding on both parties.


Notices
If either party wishes to give notice to the other party under these terms and conditions, the notice shall be delivered by first class recorded delivery mail to (in the case of the Organiser) the address given at the beginning of these terms and conditions or (in the case of the Institution) the address specified in the Application. The notice will be deemed to have been received the business day following the date of posting.


Governing law
These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales.
