Exhibitions terms and conditions

These are the terms and conditioned agreed by:

'The Organiser', the British Council, and 'The Exhibitor', the eligible institution or their representative which has made a successful application to the Organiser to participate at the Exhibition.

In these conditions:

'The Exhbition' is that mounted by the Organiser in the country specified in the exhibition details;
'The Venue' is defined in the Exhibition details;
'Partnership member' is a UK education provider that is a member of the Education UK Partnership;
'Country Partnership member' is a Partnership member that is additionally a member of a particular Country Partnership.


Accredited institutions
All participating institutions must be accredited by a recognised UK authority as specified in the Education UK Partnership eligibility criteria.


Selection criteria
Prior to the application deadline, space is allocated on a first-come, first-served basis. If the number of applications exceeds the number of spaces, selection will take place with priority given in the following order:

Country Partnership members (when the Exhibition is held in a country which has a Country Partnership);
Partnership members;
All eligible non-Partnership members.

Consortia involving institutions that are non-Partnership members will only be accommodated after all Partnership members have been allocated spaces.

After the application deadline has passed, if there are spaces remaining, they will be allocated on a first-come, first-served basis, with no priority given to Partnership members.

If the Exhibition is oversubscribed, a waiting list system will be in operation. Institutions will be placed on this waiting list according to the selection criteria. Spaces will only be offered to those on the waiting list if additional space has been made available through a cancellation.

The Organiser reserves the right to select institutions to take part in the exhibition based on additional selection criteria, as stated in the Exhibition details.


Acceptance
The staging of the Exhibition is conditional on the Organiser receiving a sufficient number of applications to make the Exhibition cost-effective.

The Exhibitor will be informed by e-mail whether their application has been accepted or rejected (with reasons for the rejection) as follows:

If the Exhibition is held in a country which has a Country Partnership:

  • Country Partnership members will be informed within one week of their application being received
  • if the number of places available exceeds the number of Country Partnership members, all other Partnership members will be informed within one week of their application being received, otherwise they will be informed within one week following the deadline for applications
If the Exhibition is held in a country which does not have a Country Partnership, all Partnership members will be informed within one week of their application being received
For all Exhibitions, all non-Partnership members will be informed within one week following the deadline for applications


Exhibition cost
The cost of participation in the Exhibition is given in the Exhibition details.

Stand sharing will be made available at a premium of twenty per cent of the cost of participation. We recommend a maximum of three institutions sharing for a nine square metre booth.


Cancellation
Cancellation fees will be charged for withdrawal from the Exhibition as of the date of receipt of notice of withdrawal. Deadlines are specified in the Exhibition details. Cancellation rates are as follows:

50 per cent of the full Exhibition cost, eight to ten weeks prior to the Exhibition
100 per cent of the full Exhibition cost, four to six weeks prior to the Exhibition

Notice of withdrawal must be supplied in writing; if faxed it should be followed by the original copy by post.


Exhibition cancelled due to unsafe country
If a country/city becomes unsafe, the degree to which it is unsafe will determine the warning and action taken:

If necessary, the Exhibition will be cancelled. This will be done summarily or in consultation with participants, depending on the local conditions. In such circumstances, the Organiser would seek to minimise the Exhibition costs that were unrecoverable and the balance would normally be a charge to the Exhibition participants - this will be done by dividing the total unrecoverable cost equally between all Exhibition participants. In effect, we would refund the Exhibition participation fee less the amount unrecoverable. Institutions will be responsible for any cancellation charges on flights, accommodation and any other costs they may incur.

There are circumstances where tension and incidents will raise a safety threat but not be sufficient to cancel the Exhibition or warn everyone to stay away. In such circumstances, some individuals or institutions may feel unwilling to visit a country and therefore decide to withdraw from the Exhibition. The Organiser would make every effort to facilitate this with the minimum penalty to the institution. In the event of such a withdrawal, normal cancellation charges will apply, except to the extent that the Organiser is able to reduce the charges without jeopardising the financial viability of the Exhibition.


Payment schedule
The Organiser will invoice Exhibitors for the exhibition space after the Exhibition has taken place. Terms of payment are within 30 days of the invoice date. Exhibitors will be invoiced for all additional items ordered. Payment for additional items will be required 30 days after receipt of invoice. In accordance with Organiser audit procedures, reminder letters will be issued for all outstanding invoices over 45 days. Until all invoices are cleared, a block will be placed on the Exhibitor’s account. Further applications to participate in education exhibitions and other organised programmes of activity cannot be accepted until all outstanding invoices have been paid.


VAT disclaimer
The Organiser is currently reviewing the VAT liability of all its activities. Depending on the outcome of this review, and agreement of liabilities with HM Customs and Excise, we may have to send you a supplementary invoice for VAT at some point in the future on the items we invoice you for from 1 April 2005 onwards.


Accommodation, travel and freight
Please note that the Exhibition fee does not include accommodation, subsistence, freight or international or domestic travel costs, unless otherwise stated in the Exhibition details. Details of recommended hotels and rates will be made to confirmed participants in the Exhibitors' Handbook.


Loss or damage to Exhibitor’s property
The Organiser will not accept any liability for the damage, theft or loss of any Exhibitor’s property in any circumstances.


Loss or damage caused by Exhibitor
The Exhibitor will indemnify the Organiser against: all actions, claims, suits, costs, expenses, demands (whether in respect of damage to property, personal injury or otherwise and including all legal costs and other expenses suffered or incurred by the Organiser) which any person may bring or claim arising from and out of the use of the Venue by the Exhibitor, its employees, servants, contractors and invitees; loss and damage to the Venue and to any property therein arising out of the use of Venue by the Exhibitor, its employees, servants, contractors or invitees and in particular but without prejudice to the generality of the foregoing caused by the use or misuse of water, gas or electricity.


Personal accidents
The Exhibitor must occupy and use the Venue and the space there allocated to it at its own risk and neither the owner nor the Organiser accepts any liability for any accident, damage or injuries suffered at the Venue by the Exhibitor, its servants, agents, contractors, invitees, members of the public, or any person whatsoever.


Disclaimer
The Organiser accepts no liability for loss or damage suffered by the Exhibitor and caused by:

the failure of any service or amenities which the Organiser is responsible for providing;
the failure of any service or amenities to be provided by the exhibition contractors;
cancellation or suspension of the Exhibition due to force majeure, including war, earthquake, typhoon, adverse weather, strikes or by reason beyond the Organiser’s control.


Promotional literature and displays
Exhibitors must not display literature on behalf of institutions that are not participating in the Exhibition. Exhibitors may be asked to submit all promotional materials and displays to the Organiser for approval and to make such changes as shall be agreed. If agreement cannot be reached, the Exhibitor must withdraw the literature, material or display. The Organiser reserves the right to close down any stand or Reception Area not meeting the Organiser's requirements. Agent’s promotional literature must not be displayed on the exhibition stand.


Use of Venue
The Venue shall not be used for any illegal or immoral purpose and the Organiser reserves the right to remove all material that in its sole opinion may be considered offensive or obscene. The Venue shall not be used for the purpose of betting or gambling.

All goods and property brought into the Venue are brought in at the owner’s risk.

Escalators and passenger elevators shall be dedicated for the use of passengers and shall not be blocked or be used to transport freight or equipment or material of any nature.


Disputes
Should the Exhibitor and the Organiser be in dispute on the meaning or interpretation of any of the terms of this agreement, including failure to agree on an event of force majeure, the matter will be referred to an arbitrator to be nominated by the parties or, failing agreement, to be agreed by the President for the time being of the Law Society of England and Wales on the application of either party, and the decision of the arbitrator will be final and binding on both parties.


Notices
If either party wishes to give notice to the other party under this agreement it shall be by first class mail to the address given in this agreement and will be deemed to have been received the business day following the date of posting.


Termination of agreement
The Organiser is entitled to terminate without notice its agreement with an Exhibitor if:

the Exhibitor or its designated representative commits any breach of, or fails to observe, any of the conditions or regulations set out in these terms and conditions;
the Organiser, in its sole and absolute discretion, decides that the agreement shall be terminated;
the Exhibitor has a receiver appointed over all or part of its assets, enters into liquidation, or commits an act of bankruptcy, whether compulsorily or voluntarily;
the Exhibitor fails to pay any sum due;

In the event that the Agreement is terminated by the Organiser, unless otherwise agreed between the Organiser and the Exhibitor in writing, the Exhibitor will pay to the Organiser any expenses or loss incurred by the Organiser arising as a consequence of such termination.


Governing law
This agreement will be governed by and construed in accordance with the laws of England.
